Terms of Use

These Terms of Use (“Terms”) govern your access to and use of AskEmma.ca and any related pages, tools, search features, artificial intelligence features, property information, communications, accounts, applications, and services made available through AskEmma.ca (collectively, the “Platform”).

In these Terms, “AskEmma,” “we,” “us,” and “our” refer to the AskEmma.ca platform.

AskEmma is associated with Alex Goodman, Sales Representative, RE/MAX Your Community Realty, Brokerage.

Please read these Terms carefully. By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. About AskEmma

AskEmma is a real-estate information and technology platform designed to help users search for properties, explore market information, ask questions, compare properties, review available data, receive automated insights, and connect with real-estate professionals.

AskEmma may provide features including:

• property search;
• map search and filters;
• listing information;
• market information;
• comparable-property information;
• estimated values or opinions of value;
• pricing comparisons or “verdicts”;
• automated property observations;
• AI-assisted questions and answers;
• property recommendations;
• alerts and saved searches;
• showing requests;
• contact requests; and
• other real-estate-related tools.

Features may be added, removed, restricted, suspended, or changed at any time.

2. Real Estate Brokerage Relationship

AskEmma is not itself a real estate brokerage.

Alex Goodman is a Sales Representative with RE/MAX Your Community Realty, Brokerage.

Any regulated real-estate brokerage services, representation, assistance, or trading services are provided only through the applicable registered brokerage and in accordance with applicable Ontario law.

Your use of AskEmma, including:

• browsing properties;
• creating an account;
• using Emma;
• receiving automated information;
• saving a property;
• requesting an estimate;
• submitting a question; or
• contacting AskEmma,

does not by itself create:

• a representation agreement;
• an agency relationship;
• a fiduciary relationship;
• a salesperson-client relationship;
• a brokerage-client relationship; or
• any obligation on you to buy, sell, lease, or trade in real estate.

Where a regulated real-estate service is requested, additional disclosures, documentation, acknowledgements, representation agreements, or other legally required steps may apply.

3. Emma Is an AI Assistant

Emma is an AI-assisted automated information tool.

Emma may use artificial intelligence, machine learning, automated retrieval, rules-based systems, third-party technology, and other computational methods to generate or organize responses.

AI-generated content may:

• be incomplete;
• contain errors;
• misunderstand your question;
• rely on incomplete information;
• become outdated;
• omit important facts;
• incorrectly interpret data; or
• produce an answer that sounds confident even when it is wrong.

You must independently verify important information before relying on it.

Emma is not:

• a lawyer;
• an accountant;
• a tax adviser;
• a mortgage broker;
• a lender;
• a home inspector;
• an engineer;
• an appraiser;
• an insurance adviser; or
• a substitute for an appropriately qualified professional.

AI-generated content does not constitute legal, tax, financial, lending, engineering, inspection, appraisal, or other regulated professional advice.

4. General Information Only

Unless expressly provided as part of a separate professional relationship through an appropriately registered or licensed person, information available through the Platform is provided for general informational and illustrative purposes.

Nothing on the Platform should be treated as:

• a guarantee;
• a warranty;
• a promise of a particular outcome;
• a recommendation to complete a transaction;
• a prediction of a future sale price;
• a formal valuation;
• an appraisal;
• legal advice;
• tax advice;
• financial advice;
• mortgage advice;
• engineering advice;
• inspection advice; or
• a substitute for independent due diligence.

Real-estate decisions can involve significant financial and legal consequences. You are responsible for obtaining appropriate professional advice and independently verifying information relevant to your circumstances.

5. Estimated Values and Opinions of Value

Where the Platform displays an estimated value, estimated range, automated estimate, opinion of value, price range, comparable-based indication, or similar output:

The estimated value or opinion of value shown is generated for informational and illustrative purposes only. It is not a formal valuation and should not be relied upon as such. No guarantee or warranty is provided as to its accuracy or completeness. Market conditions fluctuate, and users should consult a qualified professional for an independent assessment of property value.

An estimate or opinion may be influenced by factors including:

• available comparable sales;
• listing information;
• location;
• property type;
• size;
• age;
• market conditions;
• available public or licensed data;
• user-provided information; and
• automated analysis.

The Platform may not know or accurately assess:

• interior condition;
• renovations;
• defects;
• structural issues;
• lot characteristics;
• stigmas;
• title issues;
• tenancy issues;
• financing conditions;
• legal restrictions;
• unreported improvements; or
• other property-specific circumstances.

An estimated value or opinion of value is not an appraisal.

6. Value Comparisons and “Verdicts”

Where AskEmma uses labels or conclusions such as:

• “below market”;
• “in line with market”;
• “above market”;
• “good value”;
• “strong value”;
• “overpriced”;
• “underpriced”;
• “deal”;
• “verdict”; or
• similar comparative language,

the following applies:

Value comparisons and verdicts are based on factual data from recent comparable sales in the area and are provided for informational purposes only. They do not constitute advice, a recommendation to buy or sell, or any prediction of future sale prices. Users should perform their own due diligence and consult a licensed real estate professional before making any decisions.

Comparisons may be affected by differences in:

• condition;
• renovations;
• floor level;
• exposure;
• parking;
• lockers;
• maintenance fees;
• lot size;
• location;
• view;
• layout;
• property features;
• sale conditions;
• timing; and
• market movement.

7. Property Listings and Market Data

Property information may originate from or be derived from sources including:

• brokerages;
• real-estate boards;
• MLS® systems;
• data licensors;
• technology providers;
• public records;
• government sources;
• third-party services;
• listing representatives;
• users; and
• other sources.

Where TRREB, MLS®, brokerage, board, or other licensed data is displayed, that data may be subject to:

• applicable data agreements;
• board rules;
• licensing restrictions;
• attribution requirements;
• display requirements;
• access restrictions; and
• other terms imposed by the applicable source or provider.

AskEmma does not guarantee that listing or market information is:

• complete;
• accurate;
• current;
• available;
• error-free; or
• suitable for a particular purpose.

Property status, price, availability, taxes, dimensions, measurements, inclusions, exclusions, zoning, school information, maintenance fees, parking, locker information, rental information, and other details should be independently verified.

A property shown as available may already be:

• sold;
• leased;
• conditionally sold;
• conditionally leased;
• suspended;
• terminated;
• withdrawn;
• expired; or
• otherwise unavailable.

8. Sold, Historical and Restricted Data

Certain sold, historical, terminated, expired, withdrawn, de-listed, or otherwise restricted real-estate information may be subject to special legal, contractual, board, MLS®, VOW, registration, or data-licensing requirements.

Access may therefore be:

• limited to registered users;
• limited to eligible users;
• subject to account verification;
• subject to additional terms;
• restricted by geography;
• restricted by data source;
• removed without notice; or
• unavailable entirely.

Where registration is required, you agree to provide accurate information and maintain a genuine user account.

Restricted data may not be:

• scraped;
• harvested;
• copied in bulk;
• systematically downloaded;
• resold;
• republished;
• redistributed;
• used to build a competing database;
• used to train an unauthorized competing system; or
• otherwise exploited contrary to applicable rights or restrictions.

Historical and sold data is provided for informational purposes only and does not guarantee the current or future value of any property.

9. No Guarantee of Property Suitability

AskEmma does not guarantee that any property is suitable for you.

You are responsible for investigating matters relevant to a property, including where appropriate:

• physical condition;
• inspections;
• financing;
• insurance;
• zoning;
• permitted uses;
• building permits;
• renovations;
• title;
• easements;
• environmental conditions;
• taxes;
• condominium documents;
• status certificates;
• reserve funds;
• special assessments;
• litigation;
• schools;
• neighbourhood characteristics;
• future development;
• measurements;
• utilities;
• rental restrictions; and
• other relevant matters.

10. Accounts

Some Platform features may require an account.

You agree to:

• provide accurate information;
• keep account information reasonably current;
• maintain the confidentiality of your credentials;
• not share restricted account access improperly;
• promptly notify us of suspected unauthorized access; and
• accept responsibility for activity carried out through your account where permitted by law.

We may refuse, suspend, restrict, or terminate an account where we reasonably believe there has been:

• misuse;
• fraud;
• unauthorized access;
• scraping;
• circumvention of restrictions;
• unlawful activity;
• security risk;
• false account information;
• breach of these Terms; or
• breach of applicable data-access requirements.

11. User Content and AI Interactions

You may be able to submit:

• questions;
• prompts;
• messages;
• documents;
• images;
• property details;
• preferences;
• feedback; or
• other content.

You are responsible for content you submit.

You must not submit content that:

• you have no right to provide;
• unlawfully infringes privacy;
• violates confidentiality obligations;
• infringes intellectual-property rights;
• is malicious;
• contains malware;
• is fraudulent;
• is illegal; or
• is intended to compromise the Platform.

Do not submit unnecessary highly sensitive information through general AI chat or search fields.

By submitting content, you authorize us to process it as reasonably necessary to:

• provide the requested feature;
• generate responses;
• respond to requests;
• operate the Platform;
• maintain security;
• troubleshoot;
• improve functionality;
• comply with law; and
• carry out other purposes described in the Privacy Notice.

12. Acceptable Use

You may use the Platform only for lawful purposes.

You must not:

• scrape or harvest data without written authorization;
• use bots or automated systems to extract data contrary to applicable restrictions;
• bypass authentication or access controls;
• circumvent VOW or restricted-data requirements;
• interfere with Platform security;
• attempt unauthorized access;
• probe for vulnerabilities without authorization;
• overload the Platform;
• introduce malware or harmful code;
• impersonate another person;
• create fraudulent accounts;
• use the Platform for unlawful discrimination;
• copy or republish protected content without permission;
• use data in violation of applicable licence restrictions;
• misrepresent AskEmma outputs as a certified appraisal or professional conclusion;
• use the Platform to violate another person’s rights; or
• use the Platform for unlawful purposes.

13. Intellectual Property

The Platform and its original content, design, software, branding, interfaces, workflows, text, graphics, logos, compilations, and other materials may be protected by copyright, trademark, contract, database, and other rights.

Third-party listing data, photographs, trademarks, descriptions, and other materials remain subject to the rights of their respective owners and licensors.

Except as expressly permitted, you may not:

• reproduce;
• republish;
• sell;
• sublicense;
• distribute;
• create unauthorized derivative works from;
• systematically extract; or

commercially exploit

protected Platform content or third-party data.

14. Third-Party Services and Links

The Platform may interact with or link to third-party services such as:

• mapping providers;
• analytics providers;
• authentication providers;
• AI providers;
• cloud infrastructure;
• mortgage or financial tools;
• booking systems;
• brokerages;
• real-estate professionals;
• listing sources; and
• external websites.

Third parties may have their own terms and privacy practices.

AskEmma is not responsible for independent third-party services that are outside our control.

15. Requests to Be Contacted

When you voluntarily request:

• a showing;
• a callback;
• property assistance;
• seller assistance;
• a valuation discussion;
• information about a listing;
• help buying or selling;
• or another response,

you authorize the use of the contact information you provide to respond to that request.

Where appropriate to fulfill your request, your information may be provided to:

• Alex Goodman, Sales Representative;
• RE/MAX Your Community Realty, Brokerage; and
• another appropriately licensed real-estate professional involved in responding to your request.

A request for contact does not by itself create a representation agreement.

16. Electronic Communications

Electronic communications are governed by the Platform’s Electronic Communications Notice and applicable law.

Where consent is required for commercial electronic messages, we will seek consent or rely on another legally permitted basis.

You may unsubscribe from marketing communications using the unsubscribe method provided in the message.

Unsubscribing from marketing does not necessarily prevent communications that are:

• requested by you;
• necessary to provide an account or service;
• related to a transaction or inquiry;
• required for security;
• required by law; or
• otherwise non-promotional.

17. Privacy

Our collection, use, and disclosure of personal information are described in the AskEmma.ca Privacy Notice.

By using the Platform, you acknowledge that information may be handled in accordance with that Privacy Notice and applicable law.

18. Platform Availability and Changes

We do not guarantee uninterrupted availability.

The Platform may experience:

• outages;
• errors;
• delays;
• maintenance;
• data interruptions;
• AI-provider interruptions;
• third-party failures;
• incorrect results; or
• security incidents.

We may change, restrict, suspend, or discontinue any feature at any time.

19. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis.

AskEmma does not guarantee that:

• the Platform will always be available;
• information will be accurate or complete;
• AI-generated content will be correct;
• a property will remain available;
• an estimate will match a future sale price;
• a verdict will be accurate;
• a recommendation will be suitable;
• defects will be corrected immediately;
• third-party data will be error-free; or
• use of the Platform will produce a particular result.

Nothing in these Terms excludes any warranty, right, or remedy that cannot legally be excluded.

20. Limitation of Liability

To the fullest extent permitted by applicable law, AskEmma and persons involved in providing the Platform will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:

• use or inability to use the Platform;
• reliance on information;
• AI-generated content;
• property information;
• estimates;
• value comparisons;
• verdicts;
• data errors;
• omissions;
• delays;
• interruptions;
• third-party services;
• unauthorized access; or
• decisions made using Platform content.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

21. Indemnity

To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, or reasonable costs arising from your unlawful misuse of the Platform, your violation of these Terms, or your infringement of another person’s rights.

This section does not apply to the extent prohibited by applicable consumer-protection or other law.

22. Suspension and Termination

We may suspend or terminate access where reasonably necessary to:

• protect security;
• prevent misuse;
• enforce data restrictions;
• comply with legal obligations;
• respond to suspected fraud;
• protect third-party rights;
• enforce these Terms; or
• protect the Platform and its users.

You may stop using the Platform at any time.

23. Changes to These Terms

We may update these Terms.

When appropriate, we will post an updated effective date or provide another form of notice.

Your continued use of the Platform after updated Terms take effect constitutes acceptance to the extent permitted by law.

24. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Subject to any mandatory rights or jurisdiction that cannot legally be excluded, disputes relating to these Terms or the Platform will be brought before a court of competent jurisdiction in Ontario.

25. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

26. No Waiver

A failure to enforce a provision of these Terms does not waive the right to enforce it later.

27. Entire Agreement

These Terms, together with applicable additional terms and the Privacy Notice, constitute the agreement governing general use of the Platform.

A separate signed agreement relating to real-estate representation or other professional services will govern those services to the extent of any inconsistency.
